1. Acceptance of Terms
By downloading, installing, or using NoteTalker ("the Application" or "NoteTalker"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use NoteTalker.
These Terms apply to all users of NoteTalker, including holders of a one-time NoteTalker license and existing subscribers on legacy cloud plans.
2. Description of Service
NoteTalker is a local-first AI assistant and second brain application. NoteTalker, the current product, consists of:
- Desktop application — A native desktop app that runs on your local machine (Windows, macOS, Linux)
- On-device AI — AI chat, voice input (speech-to-text), voice output (text-to-speech), and semantic search that run entirely on your own device, with no cloud round-trip
- Local data and features — Vault management, RAG/search, CRM, plugins, memory system, daily notes, tasks, templates, scheduling, and reminders, all stored locally on your device
NoteTalker stores all your data on your device and runs its AI on your own hardware. It requires internet access only to download AI models, to activate your license once, and for optional extras you enable yourself (such as weather, web search, or Google sync).
Legacy NoteTalker Cloud services — hosted AI chat, transcription, text-to-speech, and web search — were previously offered to subscribers and are covered in Section 5.
3. Account Registration and Responsibilities
You create an account to purchase NoteTalker, to receive and manage your license key, and — for existing subscribers — to manage a legacy cloud plan. NoteTalker's AI runs entirely on your device, so an account is not required to use the app once your license is activated. When you create an account, you agree to:
- Provide accurate, current, and complete information during registration
- Maintain and promptly update your account information
- Keep your password secure and confidential
- Be responsible for all activities that occur under your account
- Notify us immediately of any unauthorized use of your account
You are solely responsible for the content you create, store, and process using NoteTalker. We do not monitor, review, or control the content you store in your local vault.
4. One-Time License (NoteTalker)
NoteTalker is sold as a one-time purchase. Your payment grants you a perpetual license to use NoteTalker—buy once, own forever—with no subscription and no recurring fees.
What Your License Includes
- A perpetual license to use NoteTalker, with no subscription and no recurring fees
- All 2.x releases of NoteTalker at no additional cost (new versions are manual downloads—there is no auto-updater)
- Activation on up to 2 devices per license key; you may deactivate a device at any time to free a slot and move your license to another computer
- All of NoteTalker's on-device AI—chat, voice input and output, and semantic search—running entirely on your own hardware
License Key and Activation
Your license key is delivered to, and managed from, your NoteTalker account at talkwithyournotes.com. Activating a key requires a one-time internet connection; after activation, NoteTalker runs fully offline. Keep your license key confidential—you are responsible for activity under your key, and you agree not to share, resell, or distribute it.
Termination
We may revoke your license if you materially breach these Terms—for example, by sharing or reselling your key, circumventing the permitted device activations through technical means, or using NoteTalker in a manner prohibited by Section 6 (Acceptable Use). If your license is revoked you must stop using NoteTalker and remove it from your devices; your local vault data remains on your device and is unaffected.
Refunds
If you are not satisfied with your purchase, please contact us at info@talkwithyournotes.com and we will work with you to make it right. Refunds are handled on a case-by-case basis through support.
5. Legacy Cloud Subscriptions and Billing
The following terms apply only to legacy NoteTalker Cloud subscription plans held by existing subscribers. New NoteTalker Cloud subscriptions are no longer offered—NoteTalker is now a one-time purchase (see Section 4). Existing subscribers remain bound by the terms in this section for as long as their plan is active.
Free Trial
Paid plans include a 14-day free trial. You provide a payment method to start the trial, and your selected plan begins billing automatically when the trial ends unless you cancel before then. You can cancel anytime during the trial from your account's billing portal.
Paid Subscriptions
Paid subscriptions are billed monthly. By subscribing, you authorize us to charge your payment method on a recurring monthly basis until you cancel.
- Subscription fees are non-refundable except as required by law
- Prices are subject to change with 30 days' notice
- Usage limits (message counts, STT/TTS minutes) are enforced per subscription tier
- You may upgrade or downgrade your subscription tier at any time
Cancellation
You may cancel your subscription at any time via Settings → Account in the NoteTalker app or through the Stripe customer portal. Cancellation takes effect at the end of your current billing period. You retain access to paid features until the end of the billing period.
Your local vault data remains accessible even after cancellation—only the legacy NoteTalker Cloud service is disabled.
6. Acceptable Use
You agree not to use NoteTalker to:
- Violate any applicable laws or regulations
- Infringe on intellectual property rights of others
- Transmit malware, viruses, or other malicious code
- Abuse, harass, threaten, or harm others
- Attempt to bypass usage limits or rate limiting through technical means
- Reverse engineer, decompile, or disassemble the software (except as permitted by law)
- Resell, redistribute, or share your NoteTalker license or NoteTalker cloud services without authorization
- Generate spam, phishing content, or engage in fraudulent activities
We reserve the right to suspend or terminate accounts that violate these acceptable use terms.
7. Intellectual Property
Your Content
You retain all ownership rights to the content you create, store, or process using NoteTalker. This includes notes, files, CRM data, conversation history, and any other content in your vault. NoteTalker does not claim any ownership over your content.
NoteTalker runs its AI entirely on your device, so we do not receive, process, or store your notes or conversations. If you use a legacy NoteTalker Cloud service, you grant us a limited license to process your data solely to provide that service you explicitly request (e.g., sending a message to our hosted AI). That license terminates when your request is completed—we do not retain your conversation data on our servers.
Our Software
NoteTalker and all related software, trademarks, logos, and documentation are owned by Encephalon Labs and protected by copyright, trademark, and other intellectual property laws. These Terms do not grant you any ownership rights to NoteTalker—only a limited license to use it according to these Terms.
8. Disclaimer of Warranties
NoteTalker is provided "AS IS" and "AS AVAILABLE" without warranties of any kind, express or implied. We are building an MVP-stage product and make no guarantees regarding:
- Uptime, availability, or reliability of cloud services
- Accuracy, completeness, or quality of AI-generated responses
- Compatibility with all hardware and operating systems
- Freedom from bugs, errors, or security vulnerabilities
We strongly recommend backing up your vault regularly. While NoteTalker stores data locally on your device, we are not responsible for data loss due to hardware failure, user error, or software bugs.
AI-generated content may be inaccurate, incomplete, or harmful. You are responsible for reviewing and verifying all AI-generated output before relying on it.
9. Limitation of Liability
To the maximum extent permitted by law, Encephalon Labs and its affiliates, officers, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to:
- Loss of profits, revenue, or data
- Business interruption or lost opportunities
- Damage to reputation
- Cost of procuring substitute services
Our total liability for any claims arising from your use of NoteTalker shall not exceed the amount you paid us in the 12 months preceding the claim, or $100, whichever is greater.
Some jurisdictions do not allow the exclusion or limitation of liability for consequential or incidental damages. In such jurisdictions, our liability is limited to the greatest extent permitted by law.
10. Termination
You may terminate your account at any time by deleting your account via Settings → Account in the NoteTalker app. Upon termination:
- Your account and billing information will be permanently deleted within 30 days
- Access to any legacy NoteTalker Cloud service will be immediately revoked
- Your local vault data remains on your device (we cannot and do not delete local data)
We may suspend or terminate your account if you violate these Terms, engage in fraudulent activity, or abuse our services. We will provide notice when reasonably possible.
Sections of these Terms that by their nature should survive termination (including intellectual property, disclaimers, limitation of liability, and dispute resolution) shall continue to apply.
11. Changes to Terms
We may modify these Terms from time to time to reflect changes in our services, legal requirements, or business practices. If we make material changes, we will:
- Update the "Last updated" date at the top of this page
- Notify you via email (if you have an account)
- Provide 30 days' notice for changes that materially reduce your rights
Your continued use of NoteTalker after changes to these Terms constitutes acceptance of the updated terms. If you do not agree to the changes, you must stop using NoteTalker and may delete your account.
